STRIPE ATLAS AFTER-CARE

Formed With Stripe Atlas? We Take Care of What Comes Next.

Stripe Atlas set up your Delaware company. The yearly filings after that are yours: the Delaware franchise tax, the annual report for a corporation, your federal tax return with Form 5472 when required, and the registered agent renewal. Bary Business handles them for you in one yearly plan with a clear price.

AFTER ATLAS FORMS YOUR COMPANY

What Atlas Did, and What Is Now Yours

Atlas is a great way to start. But a Delaware company has yearly duties, and missing them brings penalties.

YOUR YEARLY DEADLINES

Four Dates Every Atlas Founder Should Know

Miss a Delaware deadline and the state adds a $200 penalty plus 1.5% interest each month. A missing Form 5472 can bring an IRS penalty of $25,000.

FRANCHISE TAX SURPRISE

Got a Delaware Bill for Thousands of Dollars?

Many startup corporations have millions of authorized shares. Delaware’s default calculation, the authorized shares method, can then show a franchise tax of thousands of dollars. The other method, the assumed par value capital method, is often far lower. We calculate both and file with the one that gives you the lower amount.

We Calculate Both Methods

You pay the lower amount the law allows.

We File the Annual Report

Your corporation’s annual report is filed with the state fee included.

Minimum Tax Included

Your plan covers up to $450 in franchise tax and the annual report fee. Any amount above it is charged separately.

MOVING FROM ATLAS

Three Steps to Get Started With Us

1. Order in the Portal

Create your free account, add your company details and choose your plan.

2. We Become Your Registered Agent

We file the change of registered agent with Delaware. The state fee is included.

3. We Handle Your Yearly Filings

Franchise tax, the annual report for a corporation and your federal return, each on time, with the filing documents saved in your portal.

One thing only you can do: once the change is filed, turn off the registered agent auto-renewal in your Atlas dashboard, so you are not charged twice.

Already Missed a Deadline?

It happens to many founders in their second year. We check your company with the state and the IRS and give you a clear plan.

Formed Somewhere Else?

The same care is there for any Delaware or Wyoming company, and our tax return and registered agent work for companies in any state.

ATLAS FOUNDER QUESTIONS

Clear Answers for Atlas Founders

No. Atlas forms your company and gives you a registered agent for the first year. The yearly Delaware franchise tax is yours to handle, and so is the annual report if your company is a corporation.

Check your formation document in your Atlas dashboard. A Certificate of Incorporation means a corporation (Inc.). A Certificate of Formation means an LLC.

If a foreign person or company owns 25% or more of your company, Form 5472 is usually required with your federal return. We prepare it for you as part of your plan.

No. Changing your registered agent does not affect your Stripe account, your bank or your EIN.

Any time. Many founders move before the Atlas renewal date so they do not pay for the same year twice.

Not until we confirm. Keep your Atlas registered agent active until we email you that the change has been filed with Delaware, so your company is never left without a registered agent. Then turn off the registered agent auto-renewal in your Atlas dashboard and download any documents you need.

No. Switching is included in our prices, including the state fee to change your registered agent.

If your company is a corporation, we tell you the franchise tax amount before we file. Your plan covers up to $450 (the $400 minimum tax under the assumed par value method plus the $50 annual report fee), which is what most startups with 10,000,000 authorized shares pay. Any amount above it is charged separately. We calculate both methods to choose the lowest amount the law allows.
